Keeping valuable know-how a secret

A trade secret lasts only while the information is valuable because it is secret and you take reasonable measures to keep it that way. List what matters, limit who sees it, put every sharing arrangement in writing, and know what secrecy cannot stop.

This guide follows U.S. federal trade-secret law and uses WIPO's guidance for the practical steps; contract and employment rules differ in other countries and between U.S. states.

A small food maker has a recipe, but the real advantage is a sequence of temperatures and timings that makes the product come out the same every time. A consultancy has no secret formula, but its pricing information took years to build. Valuable know-how usually looks less cinematic than the phrase "trade secret" suggests. WIPO's examples include manufacturing processes, recipes, source code, supplier and client lists, and financial information. 2

In the U.S., information is a trade secret when two things are true: it has actual or potential economic value because it is not generally known and others cannot readily work it out by proper means, and you have taken reasonable measures to keep it secret. 3 Every element is required; if one stops being true, the trade secret ends. There is no registration and no fixed term: protection lasts as long as those conditions hold. 1

Start with a short written list of what actually qualifies. For each item, write one line on what a competitor would gain from knowing it. Marking every file "confidential" does not tell anyone which information matters.

A secret can be shared carefully

Secrecy does not mean one person knows everything. A manufacturer needs technical details; an accountant needs financial information. Decide who needs which part and for what purpose. WIPO names the core steps: nondisclosure agreements with employees and business partners, controlled access to important documents, and sound IT security. 2

Take the food maker asking a supplier to quote for new packaging. The supplier needs dimensions and material requirements. It does not need the recipe or the customer-pricing history. Send what the job requires and nothing more, because you cannot pull back what you have already sent. Add one line telling the recipient why the material is private and what they may use it for.

An NDA is part of an arrangement

Use a nondisclosure agreement that names the information covered, the permitted purpose, who at the recipient may see it, what is excluded (for example, information that is already public), and what happens to the material when the work ends. Walk the partner through the restrictions; a partner cannot follow rules it does not understand. No contract undoes a public post: once information is generally known, it no longer meets the definition of a trade secret. 3

An NDA covers secrecy, not ownership. If the manufacturer improves your production process, agree in writing who owns the improvement and who may use it. Who owns work made by employees and freelancers covers the ownership side.

If you are the employer, put the federal whistleblower-immunity notice in every agreement with an employee, contractor or consultant that governs trade secrets or confidential information. The law protects an individual who discloses a trade secret in confidence to a government official or an attorney solely to report or investigate a suspected violation of law, or in a court filing made under seal. 3 You can give the notice in the agreement itself or by cross-referencing a policy document that sets out your reporting policy. If an agreement entered into or updated after May 11, 2016 leaves the notice out, you cannot recover exemplary damages or attorney's fees from that worker under the federal act. 3

People and systems should tell the same story

Reasonable measures show up in everyday habits. Check these, in this order, for every item on your list:

  1. Who can open the folder or system that holds it. Remove anyone who does not need it. 2
  2. Whether shared links expire.
  3. Whether people who leave lose access on their last day.
  4. Whether sensitive files get copied into personal accounts or unfamiliar services.

A small business does not need an elaborate classification system. It needs people who can name the information that matters and know whom to ask before sharing it.

Treat AI tools the same way. Before you paste confidential material into an external AI service, read its terms: who can see your inputs, whether they are used to train models, and how long they are kept. If the terms do not answer those questions, keep the secret out.

Secrecy has limits

Trade-secret law does not stop someone who develops the same information independently or works it out by reverse engineering your product. 2 3 A process hidden inside your factory is therefore a better candidate for secrecy than a mechanism anyone can see by taking your product apart.

A patent works the other way around. You must publish a detailed description of the invention and the protection expires, but a patent can protect you against someone who discovers the same thing independently. 4 A secret also gives you no defensive effect: if someone else arrives at your process on their own, they can patent it. 2 Make that choice before you disclose anything; Before you show an invention to the world walks through it.

If someone takes your secret by improper means (theft, bribery, misrepresentation, or breaking a duty to keep it secret), you can sue in federal court under the Defend Trade Secrets Act when the secret relates to a product or service used in, or intended for, interstate or foreign commerce. 3 The federal act does not replace state trade-secret law, so you can choose state or federal court. 4 Talk to a trade-secret litigator as soon as you find the misuse: a federal claim must be filed within three years after the misappropriation was discovered or should reasonably have been discovered. 3

Aim for clear boundaries: this benefit you describe publicly; this technical detail goes to a named partner under an NDA; this internal information stays with the team. A secret is easier to protect when the people who rely on it understand why it is kept.
