These Terms of Service ("Terms") are an agreement between you and T-I-L-Group, Benefit Corp ("T-I-L-Group", "IPRights4All", "we", "us" or "our") about your use of the IPRights4All platform and website at iprights4all.com, including Tilly, the IPRights4All Marketplace, Insights and the free Tilly guide (the "Platform"), and of the Technology Innovation Law website at technology-innovation-law.com, operated by our affiliated law practice Technology-Innovation-Law ("T-I-L") (together with the Platform, the "Services").

By creating an account, checking the box to accept these Terms, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for an organization, you accept these Terms on its behalf and confirm that you may do so.

Please read the dispute-resolution section carefully. It requires most disputes to be resolved by individual arbitration and limits class actions.

1. The Services

IPRights4All helps creators, entrepreneurs and organizations learn about, protect and make use of their intellectual property. The Platform includes Tilly, an AI assistant for intellectual property education; Insights, articles written or reviewed by lawyers; the IPRights4All Marketplace, a directory of independent providers such as attorneys, agents and creative services; and member tools such as conversation history, usage and billing pages.

The Technology Innovation Law website gives general information about the law firm and lets you request a consultation.

We may change, add or remove features over time. We will give reasonable notice of changes that materially reduce what a paid membership includes.

3. Eligibility and accounts

  • You must be at least 18 years old (or the age of majority where you live) to create an account.
  • You must give accurate information, keep it up to date, and keep your password confidential. You are responsible for activity under your account. Tell us promptly at christopher.bennett@iprights4all.com if you think your account has been used without permission.
  • One person may hold one member account. You may not sell, transfer or share your account.
  • Some features require a verified email address or a paid membership.

4. Memberships

A free membership includes the public Tilly guide with a copyable prompt you can use with your own AI service, public Insights, Marketplace browsing and connection requests. A free membership does not include Tilly chat on the Platform.

A paid membership includes, in addition, member-only Insights, Tilly chat in the available modes with an included usage allowance for each paid period, voice input, and the CreatorCoin benefit described in section 10. The current price and inclusions are shown on the pricing page and at checkout.

5. Billing, renewal and cancellation

  • Payments are processed by Stripe. Prices are in US dollars. Applicable taxes are added at checkout where required.
  • Automatic renewal. A paid membership renews automatically each month at the then-current price until you cancel. By subscribing, you authorize us (through Stripe) to charge your payment method at the start of each period without asking you again each time.
  • Cancellation. You can cancel at any time from Billing. Cancellation takes effect at the end of the period you have already paid for, and you keep paid access until then. You can resume before that date.
  • Failed payments. If a renewal payment fails, you have a grace period of seven days to update your payment method. During the grace period you keep paid access, but no new included usage allowance or other periodic benefits are granted. If payment is not completed, your membership becomes a free membership.
  • Price changes. We will tell you about price changes in advance. A new price applies from your next renewal after the notice; you can cancel before it applies.
  • Offers. Discounts, promotion codes and private rates apply as presented at checkout (for example, to the first period, a set number of periods or ongoing) and apply to the membership only. We may end an offer for new sign-ups at any time; an offer you have already received continues on its stated terms.
  • Refunds. Except where required by law or where we tell you otherwise, payments are non-refundable and we do not give credits for partial periods. If a payment is refunded or reversed, the benefit it paid for (for example, usage credited by a top-up) is reversed as well.

6. Pay what you can

We may offer pay-what-you-can (PWYC) memberships to people we approve individually. If you are approved, we will set a suggested monthly contribution. You may contribute the suggested amount, a different amount, or explicitly choose to contribute nothing for a period; your approval, not the amount you contribute, determines your benefits while the approval is in effect.

PWYC contributions are voluntary and processed by Stripe. Your PWYC statement shows the contributions you have made. Any additional arrangement relating to PWYC is set out in a separate written agreement that you accept when you are approved. Nothing in these Terms authorizes us to charge you automatically for any difference between your contributions and a reference price.

We may end or change PWYC approvals going forward with notice.

7. Tilly usage and top-ups

  • Included allowance. Each paid period includes an allowance of Tilly usage. Usage is measured from the AI provider's reported usage for each answer, summary or transcription, and is shown to you as a percentage of your allowance and as estimated messages. Estimates are based on typical or recent use and are not guarantees; longer conversations and more thorough modes use more. Any unused included allowance expires at the end of the period.
  • Top-ups. You can buy additional usage at any time while you have a paid membership, from $5 per purchase up to the maximum shown at checkout. Top-up usage is credited when payment succeeds, does not expire, and is used after your included allowance.
  • Soft finish. A message that starts while you have a positive balance always completes, even if it uses more than your remaining balance. After that, Tilly stops generating until you top up or your next period begins. We never charge you for usage beyond your balance.
  • When paid access ends. If your paid membership ends, any remaining top-up balance is kept but cannot be used until you have paid access again. During a payment grace period, you can continue to use your top-up balance.
  • Fair use. To keep the Services available, we may apply reasonable limits, such as one answer in progress at a time per member, request size limits and rate limits.

8. Voice input

Paid members can record short voice notes, which are transcribed in their language and inserted into the message box for editing before sending. Transcription counts against your Tilly usage. Recordings are limited in length, are processed by our transcription provider and are not stored by us.

9. Your content, conversations and sharing

You keep all rights you have in the messages, summaries, listings and other content you submit ("Your Content"). You give us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit and display Your Content only as needed to operate and provide the Services to you, including sending it to our service providers as described in the Privacy Policy. This license ends when Your Content is deleted from the Services, except for copies we must keep by law or that remain in backups for a limited time.

Your Tilly conversations are private to you. If you share a conversation, anyone with the link can read the shared copy until you stop sharing. You are responsible for what you choose to share.

You are responsible for Your Content and confirm that you have the rights needed to submit it and that it does not violate these Terms or anyone else's rights. As between you and us, you may use Tilly's answers for your own purposes, subject to these Terms and the law, but you should not assume that an answer is unique, accurate or free of third-party rights.

10. CreatorCoin

CreatorCoin is a separate service with its own account and terms. Your use of CreatorCoin is governed by its own terms.

A paid membership includes a CreatorCoin benefit: a paid CreatorCoin membership and two registrations for each paid period. You activate the benefit once, on the CreatorCoin page of the Platform. We then send CreatorCoin your verified email address and the dates of your paid period, and CreatorCoin attaches the benefit to the CreatorCoin account that uses the same email address, or holds it until you create one.

  • Registrations you have not used by the end of a paid period expire when the next period starts. They do not carry over and have no cash value.
  • No new registrations are added while a renewal payment is being resolved (the grace period).
  • The benefit ends when your paid membership ends, is refunded or is closed, or when you delete your account. Registrations not used by then expire. If you become a paid member again, you can reactivate the benefit.

To show your status on the Platform, CreatorCoin sends us summary counts only: registrations used and left, the number of works you have documented and licensed, and how many items are waiting for your response there. It never sends us the works, messages or the people involved. If CreatorCoin cannot be reached, your benefit is not affected and we show the last status we received.

11. The Marketplace

  • Marketplace providers are independent third parties, not our employees or agents. Their listings, including qualifications, admissions, prices and availability, are provided by them and are shown as self-reported unless we state otherwise. We do not verify, endorse, rank or recommend any provider, and listings are shown in a random order.
  • Tilly may suggest browsing the Marketplace when a matter appears to need professional help. Such suggestions are not recommendations of any particular provider.
  • To contact a provider, you send a connection request containing only the information you review and approve. A provider is free to decline. Any engagement, fees, advice or services are solely between you and the provider, under the provider's own terms.
  • To the fullest extent permitted by law, we are not responsible for providers' acts, omissions, advice or services. Please report a listing you believe is inaccurate or inappropriate to christopher.bennett@iprights4all.com.

Additional terms for vendors

  • If you list services, you confirm that your listing is accurate, current and lawful, that you hold any licenses or admissions you claim, and that you comply with the professional rules that apply to you, including rules on advertising and client solicitation.
  • Listings and listing changes are published only after our review. We may decline, pause or remove a listing or a vendor account at our discretion, including if information appears inaccurate.
  • You may use the information in connection requests only to respond to the member who sent it and to provide the services they request, in compliance with applicable law.
  • Translations of your listing drafted with AI are suggestions; you are responsible for reviewing them before you publish.

12. Acceptable use

You agree not to:

  • use the Services in violation of any law or anyone else's rights, including intellectual property and privacy rights;
  • submit content that is unlawful, harassing, hateful, threatening, defamatory, obscene, deceptive or that sexualizes minors;
  • impersonate anyone, misrepresent your affiliation, or create accounts by automated means or under false pretenses;
  • access the Services by bots, scrapers or other automated means, or extract data from them, except as permitted by our robots.txt for standard search engines;
  • probe, scan or test the vulnerability of the Services, circumvent security, usage limits or access controls, or interfere with the Services or their users;
  • copy, modify, decompile or reverse engineer the Services except where the law expressly allows it;
  • use Tilly or other Services to build or train a competing product, or resell or share access to the Services;
  • harass or solicit other members or providers outside the purpose of a connection request; or
  • represent to anyone that information from the Services is legal advice from us.

13. Our intellectual property

The Services, including their software, design, text, articles, graphics and our names and logos (such as IPRights4All, Tilly and Technology Innovation Law), are owned by us or our licensors and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. We reserve all rights not expressly granted.

If you send us feedback or suggestions, we may use them without obligation to you. Feedback does not include Your Content.

14. Third-party services

The Services rely on and link to third-party services, such as payment, AI, email and sign-in providers, provider websites, partner law firms and CreatorCoin. We are not responsible for third-party websites or services, and your use of them is governed by their own terms.

15. Suspension and termination

You may stop using the Services and delete your account at any time from Settings. Deleting your account does not cancel amounts already due.

We may suspend or terminate your access, or remove content, if you breach these Terms, if required by law, or to protect the Services, our users or others. Where reasonable, we will tell you why and give you an opportunity to respond. Sections that by their nature should survive termination will survive.

16. Changes to these Terms

We may update these Terms. Each version has a version identifier shown at the top of this page, and we record which version you accepted. If we make material changes, we will notify you in the Services or by email before they take effect and, where required, ask you to accept the new version. If you do not agree, you may stop using the Services and cancel your membership before the changes take effect.

17. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY INFORMATION, INCLUDING AI-GENERATED ANSWERS AND PROVIDER LISTINGS, IS ACCURATE, COMPLETE OR SUITABLE FOR YOUR PURPOSES.

18. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, DIRECTORS, EMPLOYEES OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you, and you may have additional rights that cannot be waived.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold us and our affiliates harmless from third-party claims, losses and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, Your Content, your violation of anyone's rights, or, if you are a vendor, your listing and your services. We will notify you of any such claim and may take control of its defense at our expense.

20. Governing law and dispute resolution

These Terms are governed by the laws of the District of Columbia, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the agreement to arbitrate.

Informal resolution. Before starting a formal proceeding, you and we agree to try to resolve any dispute informally for at least 30 days, starting when one side sends the other a written description of the dispute (to us at christopher.bennett@iprights4all.com).

Arbitration. If the dispute is not resolved informally, it will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or, where you use the Services for business, its Commercial Arbitration Rules). YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. The arbitration may be conducted in person, through written submissions, by phone or online; where an in-person hearing is required, it will take place in Delaware unless the applicable rules or law require otherwise. Fees are governed by the applicable rules; if the arbitrator finds them excessive for you, we will pay them.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for the infringement or misuse of intellectual property or for unauthorized access to the Services. Disputes that are not subject to arbitration will be brought in the state or federal courts located in the District of Columbia, and both parties consent to their jurisdiction.

If the class-action waiver is found unenforceable for a claim, that claim will be decided in court and not in arbitration. Any claim must be brought within one year after it arises, unless the law requires a longer period.

21. Electronic communications

You agree that we may provide agreements, notices and other communications electronically, in the Services or by email, and that electronic communications and records satisfy any requirement that they be in writing.

22. California users

If a complaint is not resolved satisfactorily, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

23. General

These Terms, together with the Privacy Policy and any terms presented at checkout or in a separate agreement you accept (such as a PWYC agreement), are the entire agreement between you and us about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.

These Terms are written in English. If we provide a translation, the English version governs.
